About this document

Version: 1.0

1. Who we are and what these Terms cover

Repnect is a mobile application and related service developed and operated by SOLTYX ENGINEERING STUDIO LTD, a private company limited by shares registered in England and Wales under company number 17200770, with its registered office at 66 Paul Street, London, England, United Kingdom, EC2A 4NA ("SOLTYX", "we", "us" or "our"). Repnect is the name of the product and Service; it is not a separate company or contracting entity. Our contact details appear in section 25.

These Terms govern your access to and use of the Repnect mobile application, website and related services (together, the "Service"). The Service helps adults record fitness activity, build profiles, discover and connect with other users, communicate, use coaching and accountability features, and access paid membership features.

By creating an account, selecting the acceptance control or using the Service, you agree to these Terms, our Privacy Notice, Community Guidelines and any additional terms shown for a particular feature. If you do not agree, do not create an account or use the Service.

If mandatory consumer law in your country gives you rights that cannot be waived, these Terms do not limit those rights.

2. Eligibility and age requirement

You must be at least 18 years old and legally capable of entering into a contract to use Repnect. You must provide truthful age information and complete any proportionate age-assurance step we require.

You may not use the Service if we previously suspended or terminated your account for a serious or repeated violation, unless we give written permission. We may suspend and investigate an account where we reasonably believe the user is under 18 or has supplied false age information.

3. Your account

You must:

  • provide accurate, current information;
  • use your own identity and only photographs and content you are entitled to use;
  • keep your device, sign-in credentials and verification codes secure;
  • promptly tell us if you believe an account has been compromised; and
  • avoid creating duplicate or deceptive accounts.

You are responsible for activity through your account unless caused by our failure to use reasonable care.

If you use Sign in with Apple and choose Hide My Email, an Apple relay address ending in @privaterelay.appleid.com or @private.icloud.com may become the email attached to your account. Apple controls forwarding, so messages may stop arriving if forwarding is disabled or you lose access to your Apple ID. Continue using the same sign-in method. Using another provider or email may create a separate account, membership and history. Contact Support before changing sign-in method if you are unsure.

4. Licence to use Repnect

Subject to these Terms, SOLTYX grants you a personal, limited, non-exclusive, non-transferable and revocable licence to use the Service for lawful personal or professional coaching purposes supported by the Service.

You may not copy, sell, lease, reverse engineer, scrape, interfere with, probe, bypass security controls or use automated means to access the Service except where the law expressly permits this despite the restriction.

5. Community conduct

You must follow our Community Guidelines. You must not use Repnect to:

  • harass, threaten, stalk, bully, discriminate against, exploit or impersonate anyone;
  • share hateful, sexually exploitative, non-consensual intimate, violent or otherwise illegal material;
  • sexually exploit or endanger a child, groom a child, or create, possess, request, distribute or facilitate child sexual abuse material;
  • encourage serious self-harm, dangerous training, disordered eating, unsafe supplement or medication use, or ignoring injury symptoms;
  • scam, defraud, spam, manipulate reviews or misrepresent services, qualifications or results;
  • disclose another person's private information, messages, health information or images without authority;
  • sell or facilitate illegal goods or services;
  • infringe intellectual property or other legal rights; or
  • evade blocks, suspensions, age controls or other safeguards.

6. Connections, discovery and location

We may use profile information, preferences, activity and location to order or suggest profiles, coaches or connections. Suggestions are not endorsements or guarantees of compatibility, identity, safety, qualifications or availability.

Your exact device coordinates are not intended to be displayed publicly. Do not infer that another user is at a precise location or attempt to identify, track or surveil them. You control device location permission and can disable it, although nearby-discovery features may then be limited.

7. Messages and interactions

Treat direct messages as communications with another independent user. Do not send unwanted, coercive, sexual, abusive, deceptive or commercial messages. A recipient may block or report you at any time.

We do not routinely read private messages. Where permitted by law, authorised personnel may access information reasonably necessary to investigate a report, protect a person, maintain security or comply with a legal obligation. Our Privacy Notice explains this processing.

8. Meeting other users

You decide whether to meet another user and remain responsible for your personal decisions. For a first meeting, use a busy public gym or place, tell someone you trust, arrange your own transport and leave if uncomfortable. Do not share sensitive personal or financial information until you are satisfied it is safe.

We do not guarantee another user's identity, background, conduct, qualifications or intentions. Nothing in this section excludes responsibility that the law does not allow us to exclude.

9. Coaches and clients

Unless expressly stated otherwise, coaches and trainers on Repnect are independent users, not employees, agents or representatives of SOLTYX. We do not automatically verify, certify, insure, supervise, employ or endorse a coach merely because a profile appears in the Service.

Coaches are responsible for their qualifications, professional duties, insurance, taxes, services, advice and compliance with law. Clients must make their own assessment before engaging a coach. Coach users must also accept the Coach Terms.

Unless we expressly introduce an in-app transaction feature, any separate coaching contract or payment is between the coach and client. SOLTYX is not a party to that separate arrangement.

10. Health and fitness information

Repnect is a general fitness, wellbeing and accountability service. Neither SOLTYX nor Repnect is an emergency service or healthcare provider, and the Service is not a substitute for professional medical advice, diagnosis or treatment.

Consult an appropriately qualified professional before beginning or materially changing exercise, diet or supplementation, particularly if you have symptoms, an injury, a medical condition, are pregnant or have been advised to limit activity. Stop and seek appropriate help if you feel unwell or experience concerning symptoms.

Results vary. We do not guarantee weight change, strength, fitness, recovery, coaching quality or any particular outcome. The Health and Wellness Disclaimer forms part of these Terms.

11. Connected health information and coach sharing

If you connect HealthKit, Health Connect or another supported source, you decide which available data types to authorise through the platform controls. We will request separate permission where required.

Connecting with a coach does not itself authorise access to all health or progress information. Sharing controls must be used for the categories made available to a coach. You may revoke future sharing, but a coach may already have seen information previously made available. Coaches must use shared information only for the agreed coaching and accountability purpose.

12. Your content

You keep ownership of content you submit. You grant SOLTYX a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, transmit and display that content solely as reasonably necessary to provide, secure, moderate and improve the Service and to comply with law. This licence ends when the content is deleted from active systems, except for temporary backups, content retained for a lawful safety or legal reason, and content already shared with or copied by another user outside our control.

You confirm that you own or have permission to submit your content and that it complies with these Terms. Do not upload content merely because it is available online.

We may remove or restrict content that reasonably appears illegal, unsafe, infringing or contrary to these Terms. Removal does not transfer ownership to us.

13. Intellectual property complaints

The Repnect name, branding, software and original materials are owned by or licensed to SOLTYX. Except for the limited licence in section 4, no rights are transferred to you.

To report alleged infringement, contact legal@repnect.com with:

  • your name and contact details;
  • identification of the protected work or right;
  • identification and location of the reported material;
  • why you believe the use is unauthorised;
  • a statement that the information is accurate; and
  • evidence that you own the right or may act for the owner.

We may forward sufficient details to the user who submitted the material so the matter can be understood and contested, subject to law and safety.

14. Reports, moderation and appeals

Users can report profiles, content, messages and behaviour and can block other users. We may investigate using relevant account, content, report, message and technical information. We aim to act impartially and proportionately, taking account of severity, context, evidence and history.

Possible actions include no action, warning, content restriction or removal, feature limitation, age or identity check, temporary suspension, permanent termination, evidence preservation and referral to an appropriate authority.

Where required or appropriate, we will explain a material moderation decision and provide an appeal route. Appeals must be made in good faith and include relevant context. We may limit repeated abusive or manifestly unfounded submissions.

Our Safety, Reporting and Appeals page explains how to report illegal content and appeal a decision.

15. Child safety

We have zero tolerance for child sexual abuse and exploitation on Repnect. We remove and preserve reportable material as permitted or required by law, may suspend associated accounts, and may report confirmed or suspected child sexual abuse material or serious child endangerment to the National Crime Agency, eSafety Commissioner, law enforcement or other competent regional authority.

Our Child Safety Standards apply even though Repnect is an adult-only service.

16. Paid membership and subscriptions

Paid membership may be offered through Apple App Store or Google Play. Before purchase, the offer screen shows the membership, price, currency, billing period, trial or introductory terms, renewal and cancellation information.

Subscriptions renew automatically for the displayed period unless cancelled through the relevant store before renewal takes effect. Cancellation normally stops future renewal; access may continue until the end of the paid period. Deleting a Repnect account does not automatically cancel an App Store or Google Play subscription.

Store billing, refunds and payment methods are also governed by the relevant store terms. Mandatory consumer refund, cancellation and digital-service rights continue to apply. The Subscription, Cancellation and Refund Policy forms part of these Terms.

17. Trials, price changes and entitlement

A trial or introductory offer is available only where shown and where the store confirms eligibility. Unless cancelled before conversion, it changes to the displayed paid subscription. We do not control store eligibility decisions.

Any price change will be communicated and handled through the store process and applicable law. Do not share, transfer or resell membership entitlements. We may correct an entitlement affected by refund, revocation, fraud or technical error.

18. Service changes and availability

We may update, add, remove or discontinue features for security, legal, operational or product reasons. We will use reasonable care and give notice where a change materially affects an ongoing paid service and notice is practicable or legally required.

The Service may experience interruptions. We do not promise uninterrupted availability, but this does not reduce any statutory right to a digital service that conforms to contract.

19. Suspension, termination and account deletion

You may stop using Repnect and may request account deletion. Account deletion is separate from subscription cancellation.

We may restrict, suspend or terminate access where reasonably necessary to enforce these Terms, protect users, investigate abuse, prevent fraud, meet a legal obligation or address a security risk. Except where doing so would create risk, defeat an investigation or be prohibited, we will provide appropriate notice or reasons and any available appeal route.

Sections intended by their nature to survive—such as ownership, payment obligations already incurred, safety records, dispute terms and lawful limitations—continue after closure.

20. Liability and mandatory rights

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, deliberate misconduct, or any liability or consumer right that cannot legally be excluded.

If you are a consumer, we are responsible for foreseeable loss caused by our breach of these Terms or failure to use reasonable care. We are not responsible for loss that was not foreseeable, business loss arising from personal consumer use, another user's independent conduct, or an independent coach's services, except where the law makes us responsible.

For Australian consumers, services come with guarantees that cannot be excluded under the Australian Consumer Law. For EU/EEA and UK consumers, mandatory digital-service and unfair-term protections continue to apply.

21. Privacy

Our Privacy Notice explains how we collect and use personal information. You must respect other users' privacy and must not use information obtained through Repnect for unrelated surveillance, advertising, data brokerage, insurance, credit or other harmful decision-making.

22. Additional terms for Apple users

If you download or use Repnect through Apple App Store, you and SOLTYX acknowledge that these Terms are between you and SOLTYX, not Apple. SOLTYX, not Apple, is responsible for the Service and its content.

Your licence is limited to a non-transferable right to use Repnect on Apple-branded products that you own or control, as permitted by the Apple Media Services Terms and Conditions, including use through Family Sharing, volume purchasing or Legacy Contacts where Apple permits it.

SOLTYX is responsible for maintenance and support for the Service as required by applicable law. Apple has no obligation to provide maintenance or support. If the Repnect app fails to conform to an applicable warranty, you may notify Apple and Apple may refund the purchase price, if any, for the app. To the maximum extent permitted by law, Apple has no other warranty obligation regarding the Repnect app. SOLTYX remains responsible for other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty.

SOLTYX, not Apple, is responsible for addressing claims relating to the Service or your possession or use of it, including product-liability claims, claims that it fails to comply with legal or regulatory requirements, and claims under consumer-protection, privacy or similar law. If a third party claims that the Repnect app or your use of it infringes intellectual property rights, SOLTYX, not Apple, is responsible for investigating, defending, settling and discharging that claim as required by these Terms and applicable law.

You represent that you are not located in a country or region subject to a United States Government embargo or designated as supporting terrorism, and that you are not listed on a United States Government prohibited or restricted-party list. You must comply with applicable third-party terms when using Repnect, including mobile-network and app-store terms.

Apple and its subsidiaries are third-party beneficiaries of these Terms. When you accept them, Apple has the right to enforce this section against you as a third-party beneficiary.

23. Governing law and disputes

These Terms are governed by the laws of England and Wales. If you are a consumer resident elsewhere, you retain any mandatory protection and right to bring proceedings provided by the law of your country of residence.

Please contact us first so we can try to resolve a complaint. Nothing prevents either party seeking urgent relief or using a regulator, consumer body, tribunal or court where legally available.

24. Changes to these Terms

We may update these Terms. We will identify the effective date and provide appropriate notice of material changes. Where law or the nature of the change requires fresh agreement, we will ask you to accept the updated Terms before continuing with affected features. Changes do not retroactively remove accrued rights.
